Fuzion Electronics Ltd Terms & Conditions

1. General

All goods are supplied by us subject to these conditions.

2. Pricing

All stock is offered to our customers subject to prior sale and can be subject to packaging / pack quantities. Fuzion Electronics have the right to change prices if order is not sent within 5 days of quotation. Delivery is always charged at an extra cost of the quotation unless agreed otherwise with a member of staff.

3. Payment

First order will be processed on a pro forma basis thereafter we will assess to whether we would issue a credit account to your company, standard terms are 30 DAYS unless otherwise agreed.

4. Cancellation

Should you wish to cancel an order placed with us we reserve the right to refuse the cancellation after 48hours of the order being placed and will therefore charge for the full amount of the order, this includes any wrongly placed orders or incorrect part numbers.

5. Re-scheduling

If a scheduled order is placed and a change is needed we will do our best to meet your needs however we would need 2 month’s notice of the change in order to proceed. A stock holding fee may be applicable.

6. Delivery

All delivery dates are subject to change, ETA’s are intended as an estimate of arrival & we reserve the right to delivery in instalments against any order.

7. Non Delivery / Damages

Non delivery on any order needs to be reported in writing within 72hours of despatch. All buyers must examine & inspect the goods on arrival and advise in writing of any damages or loss caused within 72hours of delivery.

8. Products / Part numbers

Under no circumstances shall a buyer deface or remove part numbers on any goods supplied by us. We will refuse the right to return any such goods where there has been interference. To maintain confidentiality to our suppliers we reserve the right to pass on our suppliers details or disclose where are products have been sourced & purchased from.

9. Defective goods

If any goods supplied become faulty or defective caused only by defective materials or in proper use we will at our discretion offer a refund for the price of the goods or offer a replacement where possible. The buyer MUST notify us in writing within 30 days of receiving the goods with a full description of the fault and any test evidence to support this. In no event shall we be liable for any direct, indirect, consequential or punitive damages resulting from any claim. Including without limitation, loss of profits, business losses, damage to property or any liability of buyer to its customers or third parties. All products are subject to their manufacturer’s warranty and should be subject to batch check before use or installation into any equipment or products, failure to do so will be at the buyer’s risk.

10. Use of products

All buyers must understand we act purely as a distributor of electronic components and therefore the buyer is responsible for ordering the correct parts numbers / goods. The buyer must take full responsibility that this product will be fit for purpose within their equipment / product. Any firmware or software updates are at the buyer’s digression, we cannot be held reasonable for any incompatible results that may arise.

11. Intellectual property

Sellers disclaims any warranty against infringement with respect to the goods sold pursuant to these terms & conditions and the packaging relating to such goods. We are not liable to any actual or alleged infringement of any United Kingdom or foreign paten trademark, copyright, maskwork right, trade dress, trade secret or similar proprietary rights.

12. Traceability

Traceability is supplied where possible however this is not guaranteed so please check with your account manager before placing an order if your goods will be supplied with full traceability. It is the buyer’s responsibility to check if the goods are supplied with traceability prior to the order being placed. Failure to request such clarification upon ordering will result in goods being supplied with no traceability and we cannot be responsible for untraceable goods in the future or be held responsible for proving traceability after the goods have been delivered.

13. Liability

Subject to paragraph 9 of this condition, we shall not be liable to the buyer for any indirect or consequential loss or damage of any kind whatsoever however arising. In any event subject to paragraph 9 of this condition our total liability shall not exceed the product total as per the product amount / full invoice amount. Irrespective of any claim against us all amounts due to us from the buyer will remain due / outstanding and the buyer will have no right to offset against any amount due to us.

14. Force Majeure

A party shall not be liable for any failure of or delay in the performance of this Agreement for the period that such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes or labor disputes, embargoes, government orders or any other force majeure event.
